Legal statement of Johanna Kaschke trading as Whizz (secretarial internet services)

1.                  Accounts, we offer Office services accounts for customers requiring accounting, secretarial, office and career work carried out over a period of time. Subject to written agreement and contract specifying the terms of the work agreement. Terms may be varied from time to time as necessary. The type of work included may vary from contract to contract. The online log in account for the online shop, browser based services is provided to approved customers only.

2.                  Advertisement, Customer placing advertisement onto the website at locations as specified at the time of purchase. The company provides free advertisements/services, which can be placed by the customer ad hoc, some do and some do not need approval by the company. The company reserves the right to remove or move free advertisements from the site at any time without notice. Advertisements, which have been paid for by the customer are subject to the terms as agreed at the time of purchase. By placing an advertisement onto the site the customer assumes all responsibility for the ad appearing in all legal and financial consequences this may bring. We may alter the appearance of web pages as we see fit.

3.                  Appointments/Bookings, Customers requiring work to be carried out at a certain date and/or time need to pre-book time slots, which are honoured upon written acknowledgement of the booking. The company cannot accept liability should work completion be hindered by third party influences like terrorism, war, sabotage of equipment, natural catastrophe, severe weather conditions, technical breakdown of machinery, late delivery of goods by carrier, loss of packages by carrier, illness of appointee, web down times, phone lines down. The company assures that all equipment is on contracts ensuring repair of all equipment used within 24 hours of notification to service provider. Any delays through to technical faults should be no longer then 3 working days.

4.                  Appointee, An appointee is a third party contractor carrying out job assignments as and when needed. Any appointees must be appropriately verified and have to undergo a verification process and return a valid and signed contract. All appointees answer to the company service administration. All appointees are personally liable for negligence and quality, legality of work. Appointees will receive a Service card with their picture printed onto it. An appointee may deliver work directly to a customer upon specific agreement in writing with the company. A customer has to contact the company in the first instance for any type of query in relation to work carried out by an appointee done for a customer of the company. A customer is not authorised to negotiate with any appointees directly for the duration of their contract with the company. Any customers must make any payments due directly to the company, if it is found that payments have been made to appointees directly between a customer and appointee within 6 months of contract termination between the customer and the company then the company is entitled to a 10% commission + Interest calculated at Bank of England base rate + 8%, payable by the appointee or the customer.

5.                  Complaints, All complaints must be received ASAP, in the case of next day postal deliveries the lateness/loss/contents of a package must be notified within 24 hours. All other complaints must be received within 7 days of emergence. Complaints can only be accepted in writing, by using web forms, email, fax, or in writing on paper headed complaint. Any other communications will be treated as correction requests.

6.                  Confidentiality, The Company handles customer information in accordance with the Data Protection Act. The company licence number with the Data Protection Register is Z7785041. Should the company be required to carry out work and the customer fails to pay, the company may, after all negotiations have broken down, as a last resort try to recover outstanding monies by selling goods, which are sellable. All work is kept in locked rooms, safes, on computers, which are not accessible by non authorized persons, protected by firewalls and are protected by adequate security measures. All paper work is only disposed of in shredded form. All appointees carrying out work for the customer have undergone a screening process to ascertain their suitability for the sensitivity level of the work. All customers must state their customer number in any correspondence or contact and the customer can request a password for phone contact to secure confidentiality and can request PGP keys for secure email.

7.                  Contracts, All contracts are subject to a signed agreement between the customer and the company. All customers must ascertain that they are in a position to enter contracts on behalf of companies and sought all necessary permission to do so. The company agrees to carry out work for the customer to the terms agreed in the contract. Changing needs of the customer may lead to a change in pricing and work pattern, which shall be notified by the company to the customer in due course. The company reserves the right to vary contract terms from time to time as necessary.

8.                  Corrections, Any corrections necessary shall be requested by the customer by leaving a voice message on the phone, submitting a written note by fax or email, requesting a correction. The customer is responsible for all proof reading of documents.

9.                  Costs, repeat customers are provided with cost sheets on a frequency as required, whereby 1 monthly cost sheet accompanying the invoice is free of charge. The cost sheet enables a breakdown of charges and the customer has 7 days from receipt to complain in writing.

10.              Insurance, The Company does not provide liability for the customer’s loss in case of equipment breakdown over and above the services provided by equipment manufacturers and postal services insurance provision. All equipment used by the company is subject to 24 hour emergency repairs provision by the supplier for phone lines and computing equipment, not counting week ends, bank holidays. The Company is not liable for loss of service in case of sudden illness but shall make every effort to find replacement cover.

11.              Invoices, The customer must pay a due invoice by 5PM on the due date. All complaints must be received within 7 days of receipt of invoice. Discounts are relying on punctual payment and some discount schemes require payment by a certain date time or the given discount will be reduced for late payment as agreed. The company provides payment facilities via credit/debit card, bank transfer and cheque payment. Customers failing to pay invoices may be subject to Interest calculated at Bank of England base rate + 8%, depending on legislation. The company may take legal action to recover due sums in a court of law.

12.              Office Hours, Whizz, is an Internet based and distant services company working via the Internet and by electronic and postal communications. The availability of service is dependant upon the time zone, where the head office in London is relying upon GMT time zone. The availability of services is 24 hours all year long for the Internet services and personal services are subject to contractual agreements. Phone, fax, email messages can be left 24 hours every day. Processing of work depends on the working hours of the time zone the appointee is located in. Instructions, It is the customer’s responsibility to ensure clear instructions are given to the company for work assignments. The company makes a variety of forms available enabling the customer to detail work instructions but the customer may provide their own instruction sheets. Any verbal instructions are accepted on the sole risk of the customer.

13.              Legal, All correspondence should be send to the customer services postal address, fax, email as displayed on the stationery or website. Jurisdiction for services provided and goods sold and any matters is in England, Whizz Business Solutions is a registered trademark in the classes 35 + 38, registration number 2244365, 2244737. Do not use the word Whizz in your trading name, activities without seeking permission. The company does not discriminate against customers by race, creed, religion or sexual orientation. The company may review the legal terms from time to time and alter as necessary. From time to time the company makes offers to customers on the website or by correspondence.

14.             Legality, please note we shall charge back to customers any time spent on police investigations if the customer's activities cause us to be involved in police investigations, bear witness etc. All time spend on such activities shall be charged back to the customer, we therefore advise customers to ensure their activities are properly conducted within the law. We reserve the right to cancel all ongoing contracts immediately should it become apparent that we re asked to process documents/processes apparently for the use to conceal, mislead and/or defraud another. We may alternatively give a week’s notice to allow you to find alternative services. We shall not back-date documents more than 1 day. Any re-typing of documents cannot be done unless the original is supplied with assurances of copyright. All accounting must be supplied with documented evidence for transactions to be entered. We shall refuse the processing of material without giving a reason even in ongoing contracts. We reserve the right to notify any parties concerned should it become apparent after processing of material that it was used improperly especially when this concerns court correspondence.

15.              Orders, Customers can place orders online 24 hours a day. All orders are subject to availability. Whizz Business Solutions reserves the right to refuse work orders for any reasons at any time without having to explain the nature of the refusal.

16.              Prices, Prices are advertised on the web shop facility for orders of goods and services available for immediate order. Prices for office, career services customers are subject to contractual agreement, based on the frequency and level of service provision required. Prices may be altered from time to time to reflect general price fluctuations and the service needs of the customer. Prices may be subject to premium rates at certain times of the day and/or year and immediacy. Web order prices are as purchased at the time for the period and services as specified. No order is accepted unless specifically advised.

17.              Refunds, Web Orders – Posting, Please see the company’s Refunds policy.  Read also the Shipping Policy. Email - web services, All web services are subject to the availability of display time by the web hosting service provider. The company uses commercial hosting services with an excellent track record and many years of good reputation. The company is not responsible for loss of emails in transit or distortion of their content. The company makes available for customers the ability to download work directly from the website, and provides the log in details to the contracted customer to do so. The customer is responsible to keep log in details secure.

18.              Services, are provided on an as needed basis, whereby we strongly encourage advance booking of time, as we provide services on a timed basis. We may charge for emergency processing but cannot guarantee that it will be available when needed, depending on personnel available at the time, all possible efforts shall be made to accommodate customer requirements. We charge for all time spend with customers or their work assignments in any capacity.

19.              Time, Because of the nature of our services, whereby we provide out-sourced services and the customer pays for the time used, we charge for all times spend on customer's affairs, this time may consist of researching, talking, typing, electronic processing, waiting or any activities whatsoever. We shall endeavour to make you aware of charge periods but cannot always guarantee to do so. If the customer asks to stand by for work to arrive we charge for the whole period from time of order to completion. Not all services are included in time based charges, whereby the cost of electronic transmissions or phone calls may be charged extra. Please consult your contract. A customer may request periodical costing sheets.

20.              Transcriptions, We accept the supply of material for transcription in the format of digital voice files only. These files can be sent by E-mail or uploaded directly onto our server for processing. All transcriptions are charged at an hourly rate at the time spent processing. The customer can request a detailed breakdown as measured and files are invoiced as per file name in succession of processing, these measurements are done by hand showing the actual times spent on doing the job. The customer can request the intensity of correctness, e.g. every word, all sounds or economical. Whereby it takes more time to transcribe every detail on a tape and can increase the cost significantly. All customers must ensure they have the right to transcribe material supplied. We may refuse to transcribe material if the content is too distressing or ‘obviously illegal and not for a law agency’.

21.             Web Services Ads, All web services ads have to be paid for in advance. The company purchases URLs on behalf of the customer, and provides ready designed and hosted web pages for the customer. The company may use already owned URLs by the customer and provide web services for the customer. The customer must provide the company with all necessary details to do so. The company reserves the right to refuse processing, the display of immoral, illegal or content of bad taste. The company may refuse to display any advertisement without explanation. 22.              In the above legal terms Whizz Business Solutions is the Company short name Whizz may be used. The term Secretarial Internet Services is a description of the services on offer, Whizz shop is the online purchasing facility.
